In brief

Business valuation in Manchester: what we do.

Areas covered: Greater Manchester, Salford, Stockport, Cheshire and Lancashire.

XVAL provides independent business and share valuations in Manchester and Greater Manchester for owner-managers, investors and advisers. Instructions often concern management buy-outs, digital and media businesses and family companies preparing for succession, where maintainable earnings and funding capacity must be analysed separately.

Key sectors in Manchester & the North West

Sector drivers we examine in Manchester.

01

Digital and media

Contract length, client concentration and delivery capacity determine the sustainability of revenue.

02

Professional services

Lock-up, fee-earner retention and partner pay normalisation are central.

03

Manufacturing and distribution

Order books, working capital and capital expenditure cycles are tested against forecasts.

04

Consumer and retail

Like-for-like trading, lease commitments and channel mix shape the earnings base.

The local business context

Understanding the business
behind the balance sheet.

Greater Manchester combines professional services, digital and media businesses with manufacturing, distribution and established family-owned companies across the wider North West.

Our instruction focuses on the individual company. The resilience of revenue, quality of earnings, dependence on key people and rights attached to the holding are examined directly. A regional growth story is not evidence that every business benefits equally.

What matters in the valuation

The issues that deserve
closer examination.

Digital and service companies require an assessment of recurring contracts, staff retention and customer concentration. Manufacturers and distributors often need a more explicit review of capital expenditure, inventory and working-capital seasonality.

Earnings quality

Reported profit is reconciled to sustainable performance, with evidenced adjustments rather than unsupported add-backs.

Cash conversion

Tax, maintenance investment and working capital determine the cash that remains after operating profit.

Ownership rights

Control, preferences, restrictions and transfer provisions shape the value of the actual holding.

Comparable evidence

Sector and transaction evidence is assessed for scale, timing, risk and economic terms.

Ownership change

Succession, transactions
and the next chapter.

A family succession or management buy-out may involve a substantial gap between accounting profit and cash available for repayments. We assess that gap alongside owner dependence and the share rights transferred.

Value is not the same as affordability.

The next owner’s ability to fund a purchase does not, on its own, establish market value. We distinguish a defensible share valuation from the cash-flow capacity supporting debt service, vendor loans or deferred payments.

Legal documents, tax consequences and eligibility for reliefs are addressed by the appointed advisers. The valuation supplies an evidence base; it is not a transaction guarantee or a tax-planning recommendation.

Typical instructions in Manchester

Situations we are asked to value.

Management buy-out

Valuing the business while testing whether debt and deferred consideration are serviceable from future cash flow.

Private equity minority investment

Assessing the price of a minority stake and the rights negotiated alongside it.

Family succession

Transferring shares to the next generation with a documented value for tax and fairness between family members.

Legal framework · England

The England and Wales framework.

Most instructions in England fall within a well-defined legal framework. Identifying the legal basis first avoids applying the wrong standard of value.

Shareholder disputes

Under s.994 Companies Act 2006, the court may order a share purchase; whether a minority discount applies depends on the facts and the order.

Divorce

Single joint experts are instructed under Part 25 of the Family Procedure Rules 2010, with a duty to the court.

Estates

IHTA 1984 s.160 requires market value on a hypothetical sale, with HMRC Shares and Assets Valuation reviewing unquoted shares.

Employee shares

EMI and other share schemes rely on values agreed with HMRC under ITEPA 2003.

Local questions

A clear starting point.

No specific regional discount applies. The value reflects the business’s earnings, risk and terms, while funding capacity is assessed as a separate question.
