Management buy-outs
A fair price both sides can finance.

An MBO has two questions: what is the business worth, and how can management fund the purchase without weakening it? An independent assessment separates fair commercial value from the price and payment structure that the available cash flow can support.

Technical brief

Earnings after the owner leaves

Historical profits may rely on relationships, expertise or work performed by the departing owner. We assess replacement remuneration, transition costs, recurring revenue and operational continuity. The resulting maintainable earnings must reflect the business management will actually acquire, not an unadjusted historical average.

Value and debt capacity are different

A cash-flow sensitivity analysis considers tax, capital expenditure, working capital and debt service. A financing constraint does not automatically reduce market value, but it can affect the feasible transaction structure. Deferred consideration and seller financing must be assessed for risk rather than treated as equivalent to immediate cash.

Evidence for each party

The report explains the selected methods, valuation date, assumptions and enterprise-to-equity bridge. Scope and permitted reliance are agreed in advance. Lenders may require their own diligence or an approved panel adviser; an independent valuation does not itself constitute lending approval.

Methodology

The methods we apply — and why.

01

Earnings-based valuation

Maintainable earnings capitalised at evidenced multiples, adjusted for the absence of a competitive sale process.

02

Debt-capacity analysis

Leverage and cash-cover modelling to test whether the proposed price can actually be serviced by the business.

03

Structure analysis

Present value of loan notes, deferred consideration and vendor rollover to compare offers on a like-for-like basis.

Key valuation issues

Where value is won or lost.

Conflict of interest

Management know the business best; an independent view protects vendors and trustees from information asymmetry.

Vendor loan risk

Deferred payments depend on future cash flow — their real value is lower than their face value.

Employment-related securities

Shares acquired by managers may fall under ITEPA 2003 Part 7; an undervalue can create income tax exposure.

Distributable reserves

Buy-backs require distributable profits and Companies Act formalities to be respected.

Your instruction, clearly defined

Scope agreed before work begins.

We agree the valuation purpose and date, the interest being valued, the methods considered, the information required and permitted reliance. The written proposal sets out the fee, VAT treatment and delivery timetable. The result is a documented expert assessment — not a transaction guarantee or an automated estimate.
