An independent firm dedicated to businesses and unquoted shareholdings. We bring a specialist perspective to the decisions that matter to owners, management teams and professional advisers.
Not a calculator. Not a sales pitch. An independent perspective.
XVAL UK specialises in the valuation of businesses and unquoted shares. Our contribution is a reasoned assessment of the company and the interest being valued, rather than a formula applied to turnover or an outcome chosen to support a deal.
That focus matters when a valuation affects ownership, remuneration, family wealth or a contested decision. The financial model is only part of the work: commercial dependencies, contractual rights and the basis of value can change the interpretation of the same accounts.
01
A specialist, not a transaction intermediary
Our role is to assess value, not to find a purchaser or advocate an investment. Separating the valuation question from the desired transaction outcome helps owners distinguish a reasoned opinion from an asking price or a negotiating position.
Independence also requires practical checks. The parties, existing relationships, intended users and possible conflicts are considered before an engagement is accepted. A report commissioned by one shareholder does not automatically become a jointly instructed opinion.
02
Human judgement, with an explicit evidence trail
Models organise the analysis; they do not decide which earnings are sustainable, whether a forecast is credible or what rights a shareholder actually holds. Those judgements require the company’s commercial context and the documents supporting it.
We explain material assumptions, reconcile competing evidence and identify information gaps. Where uncertainty changes the conclusion, it belongs in the report rather than being concealed behind a precise-looking number.
03
A conclusion tied to a real decision
Owners often need to know whether a proposed sale, succession or employee ownership arrangement is economically coherent. Advisers may instead need a value at a specific date under a statutory or contractual basis. These are related questions, but not identical instructions.
The engagement identifies the subject interest, purpose, basis, date and intended reliance. That definition protects the usefulness of the work and prevents a report prepared for one decision from being applied uncritically to another.

International experience. UK context.
A shared specialism. A locally defined instruction.
XVAL’s international network brings valuation experience across France, Switzerland, Belgium and Luxembourg. The group’s approximately 3,500 assignments annually and more than 15 years of experience describe that wider activity; they are not presented as a UK-specific track record.
International perspective can be useful for cross-border ownership, overseas operations and complex capital structures. It does not make foreign tax rules or precedent transferable to a UK engagement. Relevant UK legislation, share rights and professional requirements are considered for the particular instruction.
England and Wales, Scotland and Northern Ireland can involve different procedural requirements. Republic of Ireland work is scoped as a separate jurisdiction, with local professional support agreed where required. Service coverage does not imply a network of physical UK offices.
Different responsibilities. A common need for clarity.
We work alongside those who own, manage and advise private businesses. Each brings a different question to the engagement. Understanding that question helps define what the report needs to establish — and which responsibilities remain with other advisers.
Business owners & management teams
For an owner-managed company, personal and business finances can be closely linked. We examine replacement management costs, related-party arrangements, cash requirements and dependence on the founder so that the conclusion reflects a transferable business, not simply its latest accounts.
A proposed management buy-out or family transfer also raises an affordability question. Enterprise value, the value of the shares and the cash available to fund consideration should be distinguished, even when they are discussed in the same meeting.
Valuation can support an adviser’s work on employee incentives, share transfers, estates or restructuring. We coordinate the financial evidence and valuation assumptions with the adviser’s tax instruction, while keeping the assessment of value separate from eligibility for relief or the legal treatment of an arrangement.
For an EMI instruction, for example, the required treatment of restrictions and share rights must be established. A general commercial valuation is not a substitute for the relevant tax basis, and an independent opinion does not guarantee HMRC agreement.
A shareholder disagreement or family proceeding may involve a contested date, disputed adjustments or different interpretations of the rights being valued. The appointment, questions to be answered, information access and applicable procedure need to be established before substantive analysis begins.
Expert-witness duties, joint instructions and third-party reliance are not assumed. Where such work is contemplated, competence, independence and the relevant jurisdiction’s requirements are assessed expressly with the instructing advisers.
A headline funding price may conceal preferences, dilution and differences between share classes. Likewise, an employee ownership transaction must separate the assessment of value from financing terms and the practical capacity of the business to support deferred payments.
We consider the economic rights attached to the actual interest and make clear how company value translates into shareholder value. Deal negotiation, investment advice and legal structuring remain separate professional responsibilities.
A valuation can involve commercially sensitive information and significant personal interests. Clear boundaries at the outset are as important as the analysis itself.
01
Scope before analysis
The engagement establishes the company or holding, valuation date, purpose, deliverables and intended users. Fee, applicable VAT and timetable are agreed in writing before substantive work begins.
02
Confidentiality before document exchange
An initial enquiry should describe the situation without attaching sensitive records. Confidentiality, permitted information sharing and an appropriate transfer method are confirmed before detailed company documents are requested.
03
Prompt review, a realistic timetable
We review enquiries the same working day. That initial review is not a promise of a completed valuation that day: delivery depends on the agreed scope, information quality, complexity and required adviser coordination.
04
Clear limits on use
A report states its assumptions, limitations and permitted reliance. A valuation opinion is not an audit, legal advice or tax clearance, and use by lenders, auditors or other third parties requires express agreement.
Evidence you can examine. Claims kept in proportion.
Valuation standards and primary-source guidance help frame a disciplined assessment. The applicable framework is agreed for the engagement. References to IVSC, ICAEW or HMRC guidance do not imply membership, accreditation, regulatory approval or guaranteed acceptance of a conclusion.
XVAL UK focuses on independent valuation of businesses and unquoted shareholdings for owners and professional advisers. Instructions can concern transactions, succession, employee ownership, share incentives, tax, disputes and financial reporting. The purpose and actual interest being valued determine the scope.
