Succession & family transfers
Pass on the business with clarity.

A family transfer combines commercial, ownership and tax questions. Establishing an independent value early helps owners understand what is being transferred, how control changes and where the financing or tax implications require specialist advice.

Technical brief

Value rights as well as the company

Voting rights, dividend rights, transfer restrictions and family arrangements influence the interest being valued. A transfer of a controlling holding is not necessarily equivalent to a series of small minority holdings. The actual transaction and the relevant statutory assumptions must be clearly defined.

Separate value from affordability

The next generation’s ability to fund a purchase depends on cash flow, dividends, borrowing and the proposed payment structure. That is a separate analysis from market value. Owner dependence and the costs of a leadership transition can also affect sustainable performance.

Coordinate without assuming relief

CGT, inheritance tax and available reliefs depend on the facts and current rules. An independent valuation supplies an evidence base; it is not a tax planning recommendation. Solicitors and tax advisers should confirm the proposed transfer, relevant date and reporting obligations.

Methodology

The methods we apply — and why.

01

Market value of interests

Valuation of each holding transferred, reflecting control and restrictions.

02

Scenario comparison

Value outcomes under sale, gift, trust or phased transfer.

03

Periodic revaluation

Updated values to track planning over time.

Key valuation issues

Where value is won or lost.

Equalisation

Balancing heirs active in the business and those who are not.

Holdover relief

Gifts may defer CGT but still require defensible values.

BPR changes

New caps make timing and value of transfers critical.

Governance

Shareholder agreements affect both value and family harmony.

Your instruction, clearly defined

Scope agreed before work begins.

We agree the valuation purpose and date, the interest being valued, the methods considered, the information required and permitted reliance. The written proposal sets out the fee, VAT treatment and delivery timetable. The result is a documented expert assessment — not a transaction guarantee or an automated estimate.
