In brief

Business valuation in London: what we do.

Areas covered: Central London, the City, Canary Wharf, Westminster and the Home Counties.

XVAL provides independent business and share valuations for London companies, shareholders and their advisers, covering transactions, fundraising, share schemes, disputes, divorce and estates. London instructions frequently involve complex capital structures, international groups and investor-backed businesses, so the rights of each share class are analysed before a value is concluded.

Key sectors in London & the South East

Sector drivers we examine in London.

01

Financial and professional services

Fee-earner dependence, regulatory capital, client portability and partner remuneration drive maintainable earnings.

02

Technology and SaaS

Recurring revenue quality, churn, net revenue retention and cash burn determine whether revenue multiples are meaningful.

03

Creative and media

Rights ownership, project income and key-talent risk must be separated from repeatable revenue.

04

Property-rich trading groups

Trading value and investment property are assessed separately, with related-party rents normalised.

The local business context

Understanding the business
behind the balance sheet.

London’s business base spans financial and professional services, technology, creative industries and owner-managed service companies. Commercial scale can vary sharply between a local practice and a venture-backed growth company.

Our instruction focuses on the individual company. The resilience of revenue, quality of earnings, dependence on key people and rights attached to the holding are examined directly. A regional growth story is not evidence that every business benefits equally.

What matters in the valuation

The issues that deserve
closer examination.

For professional firms, client portability and partner dependence require attention. In technology, recurring revenue, retention, intellectual property ownership and investor preferences may be more informative than a historic profit multiple.

Earnings quality

Reported profit is reconciled to sustainable performance, with evidenced adjustments rather than unsupported add-backs.

Cash conversion

Tax, maintenance investment and working capital determine the cash that remains after operating profit.

Ownership rights

Control, preferences, restrictions and transfer provisions shape the value of the actual holding.

Comparable evidence

Sector and transaction evidence is assessed for scale, timing, risk and economic terms.

Ownership change

Succession, transactions
and the next chapter.

An owner-led London firm preparing an MBO needs a realistic allowance for replacement leadership and premises costs. Cross-border ownership or customers can add tax and reporting questions that should be addressed separately.

Value is not the same as affordability.

The next owner’s ability to fund a purchase does not, on its own, establish market value. We distinguish a defensible share valuation from the cash-flow capacity supporting debt service, vendor loans or deferred payments.

Legal documents, tax consequences and eligibility for reliefs are addressed by the appointed advisers. The valuation supplies an evidence base; it is not a transaction guarantee or a tax-planning recommendation.

Typical instructions in London

Situations we are asked to value.

Venture-backed share classes

Preferred shares with liquidation preferences, ratchets and anti-dilution are modelled through a waterfall to value ordinary or growth shares.

Partner or shareholder exit

A departing shareholder of a professional firm requires a value consistent with the articles, any good/bad leaver terms and client retention risk.

Group reorganisation

Hive-ups, demergers and holding-company insertions require values for intra-group transfers and tax clearances.

Legal framework · England

The England and Wales framework.

Most instructions in England fall within a well-defined legal framework. Identifying the legal basis first avoids applying the wrong standard of value.

Shareholder disputes

Under s.994 Companies Act 2006, the court may order a share purchase; whether a minority discount applies depends on the facts and the order.

Divorce

Single joint experts are instructed under Part 25 of the Family Procedure Rules 2010, with a duty to the court.

Estates

IHTA 1984 s.160 requires market value on a hypothetical sale, with HMRC Shares and Assets Valuation reviewing unquoted shares.

Employee shares

EMI and other share schemes rely on values agreed with HMRC under ITEPA 2003.

Local questions

A clear starting point.

Headline multiples reported for London deals often concern larger, investor-backed companies. They are adjusted for size, growth, margin and deal terms, or set aside where not comparable.
