The local business context

Understanding the business
behind the balance sheet.

The Republic of Ireland is a separate jurisdiction, not part of the United Kingdom. We consider cross-border enquiries where an Irish business or holding forms part of a wider UK or international valuation need.

Our instruction focuses on the individual company. The resilience of revenue, quality of earnings, dependence on key people and rights attached to the holding are examined directly. A regional growth story is not evidence that every business benefits equally.

What matters in the valuation

The issues that deserve
closer examination.

The analysis identifies the country of incorporation, tax purpose, functional currency and relevant share rights. UK HMRC guidance is not treated as the authority for Irish tax values. Local advisers must confirm the applicable Irish requirements.

Earnings quality

Reported profit is reconciled to sustainable performance, with evidenced adjustments rather than unsupported add-backs.

Cash conversion

Tax, maintenance investment and working capital determine the cash that remains after operating profit.

Ownership rights

Control, preferences, restrictions and transfer provisions shape the value of the actual holding.

Comparable evidence

Sector and transaction evidence is assessed for scale, timing, risk and economic terms.

Ownership change

Succession, transactions
and the next chapter.

Cross-border ownership, family transfers and restructurings require coordinated advice. The engagement scope and local professional support are confirmed before accepting an assignment; this page does not imply an Irish office.

Value is not the same as affordability.

The next owner’s ability to fund a purchase does not, on its own, establish market value. We distinguish a defensible share valuation from the cash-flow capacity supporting debt service, vendor loans or deferred payments.

Legal documents, tax consequences and eligibility for reliefs are addressed by the appointed advisers. The valuation supplies an evidence base; it is not a transaction guarantee or a tax-planning recommendation.

Legal framework · Republic of Ireland

Irish law, Irish tax, euro reporting.

The Republic of Ireland is a separate jurisdiction, not part of the UK. Valuations are prepared by reference to Irish legislation, Revenue guidance and euro-denominated financial information.

Shareholder disputes

The oppression remedy under s.212 Companies Act 2014 allows the court to order a share purchase; the price basis is set by the court order.

Gifts and inheritances

Capital Acquisitions Tax relies on the market value of shares, and business relief conditions should be examined with tax advisers.

Employee shares

Share awards and the KEEP scheme require a market value consistent with Revenue requirements.

Family law

Financial relief on judicial separation or divorce is decided under the Family Law (Divorce) Act 1996 and related legislation.

Local questions

A clear starting point.

No. It is a separate jurisdiction with its own legislation, tax authority and currency, and the instruction is framed accordingly.
