The local business context

Understanding the business
behind the balance sheet.

Northern Ireland has a diverse base of professional services, technology, manufacturing and family businesses. Companies trading across the island of Ireland may have contracts, assets or group entities in more than one jurisdiction.

Our instruction focuses on the individual company. The resilience of revenue, quality of earnings, dependence on key people and rights attached to the holding are examined directly. A regional growth story is not evidence that every business benefits equally.

What matters in the valuation

The issues that deserve
closer examination.

We review the entity being valued, cross-border operations, customer concentration and the interaction between earnings, assets and financing. Sterling and euro cash flows must be treated consistently in forecasts and discounting.

Earnings quality

Reported profit is reconciled to sustainable performance, with evidenced adjustments rather than unsupported add-backs.

Cash conversion

Tax, maintenance investment and working capital determine the cash that remains after operating profit.

Ownership rights

Control, preferences, restrictions and transfer provisions shape the value of the actual holding.

Comparable evidence

Sector and transaction evidence is assessed for scale, timing, risk and economic terms.

Ownership change

Succession, transactions
and the next chapter.

Northern Ireland is part of the UK, but its court procedures differ from England and Wales. A valuation for family proceedings or a dispute therefore needs a jurisdiction-specific instruction. Republic of Ireland tax matters are addressed separately.

Value is not the same as affordability.

The next owner’s ability to fund a purchase does not, on its own, establish market value. We distinguish a defensible share valuation from the cash-flow capacity supporting debt service, vendor loans or deferred payments.

Legal documents, tax consequences and eligibility for reliefs are addressed by the appointed advisers. The valuation supplies an evidence base; it is not a transaction guarantee or a tax-planning recommendation.

Typical instructions in Belfast

Situations we are asked to value.

Cross-border group

Valuing a group with operations in Northern Ireland and the Republic, with euro and sterling cash flows.

Shareholder dispute

Preparing evidence for a s.994 petition in the High Court in Belfast.

Family succession

Transferring an agri-food business between generations with documented value.

Legal framework · Northern Ireland

A distinct legal system within the UK.

Northern Ireland shares UK company and tax legislation but has its own courts and family law. Cross-border trading with the Republic of Ireland may also affect forecasts and customer risk.

Shareholder disputes

s.994 Companies Act 2006 applies in Northern Ireland; petitions are heard in the High Court in Belfast.

Divorce

Financial provision is governed by the Matrimonial Causes (Northern Ireland) Order 1978, with expert evidence directed by the court.

Estates

IHTA 1984 s.160 market value applies to shares in the estate, as elsewhere in the UK.

Cross-border trade

Arrangements under the Windsor Framework can affect supply chains and margins for goods businesses, so forecasts should state the trading assumptions used.

Local questions

A clear starting point.

The valuation principles are the same, but the trading, legal and family-law context is specific and is reflected explicitly.
