In brief

Business valuation in Cambridge: what we do.

Areas covered: Cambridge, Peterborough, Norwich, Ipswich and the East of England.

XVAL provides independent business and share valuations in Cambridge and the East of England for life-science, software, research-led and specialist engineering companies. Funding rounds are calibrated for liquidation preferences and dilution, so that investor prices are not reused unadjusted for employee ordinary shares or EMI options.

The local business context

Understanding the business
behind the balance sheet.

Cambridge’s commercial context includes life sciences, software, research-led companies and specialist engineering. A research platform, a licence business and a profitable service company must not be valued as if they share the same risk or cash-generation profile.

Our instruction focuses on the individual company. The resilience of revenue, quality of earnings, dependence on key people and rights attached to the holding are examined directly. A regional growth story is not evidence that every business benefits equally.

What matters in the valuation

The issues that deserve
closer examination.

We examine patent and licence ownership, milestone dependencies, commercialisation costs and access to further capital. Funding rounds must be calibrated for liquidation preferences and dilution: an investor’s preferred share price is not automatically the value of employee ordinary shares.

Earnings quality

Reported profit is reconciled to sustainable performance, with evidenced adjustments rather than unsupported add-backs.

Cash conversion

Tax, maintenance investment and working capital determine the cash that remains after operating profit.

Ownership rights

Control, preferences, restrictions and transfer provisions shape the value of the actual holding.

Comparable evidence

Sector and transaction evidence is assessed for scale, timing, risk and economic terms.

Ownership change

Succession, transactions
and the next chapter.

For founders considering an investment, share award or partial exit, the cap table and economic waterfall are central. University-linked rights, shareholder consents and vesting terms should be confirmed by legal advisers before valuation assumptions are settled.

Value is not the same as affordability.

The next owner’s ability to fund a purchase does not, on its own, establish market value. We distinguish a defensible share valuation from the cash-flow capacity supporting debt service, vendor loans or deferred payments.

Legal documents, tax consequences and eligibility for reliefs are addressed by the appointed advisers. The valuation supplies an evidence base; it is not a transaction guarantee or a tax-planning recommendation.

Typical instructions in Cambridge

Situations we are asked to value.

EMI after a funding round

Deriving AMV/UMV from a preferred-share round.

Spin-out cap table

Valuing each class through an economic waterfall.

Partial founder exit

Pricing secondary shares sold alongside a round.

Legal framework · England

The England and Wales framework.

Most instructions in England fall within a well-defined legal framework. Identifying the legal basis first avoids applying the wrong standard of value.

Shareholder disputes

Under s.994 Companies Act 2006, the court may order a share purchase; whether a minority discount applies depends on the facts and the order.

Divorce

Single joint experts are instructed under Part 25 of the Family Procedure Rules 2010, with a duty to the court.

Estates

IHTA 1984 s.160 requires market value on a hypothetical sale, with HMRC Shares and Assets Valuation reviewing unquoted shares.

Employee shares

EMI and other share schemes rely on values agreed with HMRC under ITEPA 2003.

Local questions

A clear starting point.

Not directly; it is calibrated for preferences, rights and timing.
