Technical brief
Define the perimeter and premise
We identify exactly what is transferred, including liabilities, intellectual property, contracts and shared functions. A division’s historic profit may exclude the standalone costs it would incur outside the group. A distressed company may also face funding and timing constraints that change the feasible options.
Distinguish tax, accounting and commercial purposes
An internal transfer price, tax market value and accounting fair value serve different purposes. The scope must specify the intended use, valuation date and relevant requirements. We coordinate with the appointed tax, accounting and legal advisers rather than assuming that one report answers every question.
Assess alternatives consistently
Where restructuring choices are compared, forecasts, discount rates and disposal assumptions need to be coherent. Distress does not automatically mean forced-sale value. We document the assumed marketing period, funding availability and evidence for alternative recovery scenarios.
